摘  要
随着经济全球化的快速发展，企业国际化的浪潮席卷全球。跨国公司为加强其国际竞争地位和推行全球化经营战略，在全球范围内掀起了一场规模宏大、影响深远的跨国并购浪潮。而伴随着经济全球化步伐的加快以及“走出去”战略的实施，我国越来越多的企业将跨国并购作为对外直接投资、开拓国际市场的新策略。然而在我国企业跨国并购过程中，虽然为我国经济的增长做出了很大的贡献，但是也存在着很多的问题，制约着我国企业跨国并购的发展。所以本文通过对我国企业跨国并购的困境进行研究，首先对跨国并购进行了简单的阐述；其次分析了我国企业跨国并购现状及发展趋势；接着深入分析了我国企业跨国并购过程中遇到的一些困境；最后针对这些困境提出了一些应对之策，并希望这些建议的提出对我国企业跨国并购的发展有一定的促进作用。

China Enterprise Cross Nation Acquisition Difficulties and Countermeasures
ABSTRACT
With the rapid development of economic globalization, the internationalization of enterprises tide sweeps across the whole world. Multinational companies to strengthen their international competitive power and carry out global management strategy, one is lifted inside global limits dimensions is baronial, far-reaching multinational mergers and acquisitions. Along with the accelerated pace of economic globalization and the implementation of "going out" strategy, more and more enterprises of our country will cross-border M & as, opening up the international market. However, in China's enterprises in transnational merger process, although for the growth of our country economy has made a great contribution, but also existing a lot of problems, restricting the development of China's enterprises in transnational merger. So this paper on China's enterprises in transnational merger the plight of the study, first of all to the transnational merger and acquisition has carried on the simple elaboration; followed by the analysis of China's enterprises in transnational merger current situation and development trend; then in-depth analysis of China's enterprises in transnational merger process encountered some difficulties; the last of these difficulties and puts forward some countermeasures, and I hope these suggestions on cross-border M a of Chinese enterprises development.
